General Terms and Conditions for LXRY&VNTG

General Terms and Conditions

These General Terms and Conditions apply to all products offered within LXRY&VNTG's collection.

1. Scope of Application
1.1 The supplier (hereinafter "Seller") sells products on LXRY&VNTG PTE. LTD.'s (hereinafter "L&V") online marketplace (e.g., LXRY&VNTG, hereinafter "Platform"). These general terms of sale apply to sales contracts for goods (hereinafter "Purchase Items") between buyers and sellers concluded through the Trusted Checkout service. Chrono24 only provides the platform for concluding sales contracts between sellers and buyers and is not a party to these contracts.

1.2 Sellers can register as (professional) dealers or private sellers (users) to offer products on the Platform. The Trusted Checkout service is available to both dealers and private sellers. Special provisions in Sections 5.2 (Warranty) and 9 (Consumer's Right of Cancellation) apply when products are offered by dealers or businesses conducting sales as part of their commercial activities. For private sellers not conducting sales as part of commercial activities, warranty rights are governed by Section 5.3.

1.4 The seller does not accept different conditions from buyers. This applies even if the seller does not explicitly object to their inclusion.

1.5 For purchases through the Trusted Checkout service, these terms of sale take precedence over other contractual conditions of the seller.

2. Formation of Contract
2.1 Listing of Purchase Items on the Platform does not constitute a binding offer to conclude a sales contract. It is merely an invitation for prospective buyers to submit purchase requests to the seller.

2.2 When a buyer makes a binding offer to conclude a sales contract ("Order Submission"), LXRY&VNTG sends an order confirmation via email. This order confirmation does not constitute acceptance of the purchase offer.

2.3 The sales contract is formed when the seller accepts the buyer's purchase offer through declaration or shipment of the watch.

3. Delivery and Ownership
3.1 Unless otherwise agreed, delivery is made from the seller's registered business location to the address specified by the buyer. The seller shall insure the Purchase Item for its full value and use a trackable shipping method. Unless otherwise agreed, shipping costs, including transport insurance, shall be borne by the buyer.

3.2 Delivery times shown on the Platform or in order confirmations are calculated from the time payment is received in the receiving account.

3.3 Ownership of the Purchase Item remains with the seller until the purchase price has been paid in full.

4. Prices, Invoicing, Payment Terms
4.1 Prices displayed on the Platform include Goods and Services Tax (GST) and other applicable price components.

4.2 Payment shall be made in advance through the designated payment service provider.

4.3 Invoice amounts must be transferred to the designated account within 5 business days after conclusion of the sales contract. The date of receipt of payment is decisive. The seller may terminate the contract without notice if the purchase price is not paid on time.

4.4 The buyer shall only have the right to offset if their counterclaims are legally established or undisputed by the seller.

5. Warranty Rights
5.1 Warranty Claims Against LXRY&VNTG: L&V is not a party to sales contracts concluded through the Trusted Checkout service. Buyers can only assert defect claims against the seller with whom they concluded the sales contract.

5.2 Warranty Claims Against Dealers and Businesses:
5.2.1 If the seller is a registered business, buyer warranty claims shall be governed by Singapore's Consumer Protection (Fair Trading) Act and Sale of Goods Act.

5.2.2 The warranty period for used items is 6 months from delivery unless otherwise specified by law.

5.2.3 The limitation in Section 5.2.2 shall not apply to damage claims arising from gross negligence or intentional misconduct.

5.3 Warranty Claims Against Private Sellers:
5.3.1 If the seller is a private seller, warranty rights for used items are limited to claims arising from fraudulent concealment of defects.

6. Condition of Purchase Items
6.1 Purchase Items are deemed to conform to the sales contract when they:
- Match the description provided by the seller
- Are suitable for any specific purpose made known to and agreed with the seller
- Are of satisfactory quality and fit for ordinary purposes
- Match any sample or demonstration model shown to the buyer

6.2 For used items, the actual condition shown in the product description and photographs is decisive. Normal wear and age-related imperfections consistent with used condition do not constitute defects.

6.3 The seller guarantees that all items are authentic and original.

7. Authenticity Guarantee
7.1 Where applicable, purchases may be covered by LXRY&VNTG's authenticity guarantee program.

7.2 The authenticity guarantee covers:
- Verification of critical components
- Confirmation of reference numbers
- Theft check against available databases

7.3 The guarantee is valid for 30 days from the date of shipment.

8. Liability
8.1 The seller's liability shall be governed by Singapore law, including but not limited to the Unfair Contract Terms Act.

8.2 Nothing in these terms limits the seller's liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any matter for which it would be illegal to exclude or limit liability

9. Right of Cancellation
9.1 Buyers who are consumers have the right to cancel their purchase within 7 days in accordance with Singapore's Consumer Protection Law.

9.2 To exercise the right of cancellation, the buyer must notify the seller through clear communication.

9.3 Upon cancellation, the seller shall refund all payments received, including delivery costs, within 30 business days.

10. Final Provisions
10.1 If any provision of these terms is invalid, the remaining provisions shall continue to be valid.

10.2 These terms and conditions are governed by and construed in accordance with Singapore law. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

10.3 For consumer contracts, nothing in these terms affects consumers' statutory rights under Singapore law.
